PURCHASER’S ASSUMPTION AGREEMENT ON TRANSFER OF RIGHTS IN SCRIPT MATERIAL

WHEREAS__________________________________(“Purchaser”) has acquired from ________________________________ (“Producer”) certain rights in _____________________________(the “Script Material”) written by ____________________________________(“Writer”);

AND WHEREAS the rights to the Script Material were acquired by Producer pursuant to the Independent Production Agreement covering Freelance Writers of Theatrical Films, Television Programs and other Productions between the Canadian Film and Television Production Association (CFTPA), and the Writers Guild of Canada (the “Guild”) dated February 17, 2003 to December 31, 2005 (the “IPA”);

The parties hereto agree as follows:

1. The Purchaser is hereby bound by the IPA with respect to the Script Material and any production based on the Script Material as if the Purchaser had been an original party thereto; and without limiting the generality of the foregoing, the Purchaser will pay when due all payments required by the IPA to be paid by the Producer to or for the Writer in respect of the Script Material, including the Production Fee, and Distribution Royalty.

2. The Purchaser will be relieved of its obligations to the Guild upon any sale or other disposition of the Script Material or in any production made from the Script Material, only if the party which acquires such rights or production signs an Assumption Agreement with the Purchaser and the Guild.

3. The Guild hereby relieves the Producer of its obligations under the IPA with respect to the Script Material and upon and production made from the Script Material.
